The manager of the ThompsonMcMullan Business practice area is Richard L. Grier. Our practice in this area focuses primarily upon closely-held domestic businesses in which the principal owners are actively involved in their management or domestic subsidiaries of larger domestic or foreign business entities. Our lawyers work diligently to educate our clients on the need to execute well-drafted documents that anticipate the client’s needs at the beginning of the transaction and to educate ourselves on those needs. Our clients include business corporations (including S corporations), limited liability companies and limited partnerships, professional limited liability companies and partnerships, and foundations and other exempt organizations. With their extensive experience in these areas, our business attorneys provide such services as:
* entity selection advice for domestic and foreign clients;
* creation of the appropriate legal entity to do business in Virginia, (e.g. stock corporation, limited liability company, limited partnership, general partnership or limited liability partnership);
* complete “start-up” advice and assistance for domestic or foreign businesses moving into Richmond or Virginia from another state or foreign jurisdiction;
preparation of agreements between shareholders or other owners of closely-held businesses, protecting the rights of individual shareholders not otherwise provided by statutory corporate law;
* representation in connection with either equity or debt financing of new or existing businesses, including private placements of such offerings;
representation in the purchase and sale of businesses, whether the transaction involves the sale of the company’s assets, shares of stock, or membership interests;

* negotiating and drafting agreements for the purchase and sale of goods in secured transactions, including sales in international commerce involving the issuance of letters of credit.

Employment Law

ThompsonMcMullan handles a wide variety of employment and human resource matters ranging from pre-hiring practices to termination and severance issues. Neil S. Talegaonkar manages the Employment Law area. We regularly consult with and advise our clients on issues such as
* hiring practices, including review of employment application materials, federal regulatory compliance, and ADA-related matters;
* the drafting, negotiation, and implementation of employment agreements, confidentiality agreements, and non-competition agreements;
* the review and updating of personnel handbooks and policy manuals;
* the termination of employees, including preparation of severance and termination agreements; and
* the defense and prosecution of state and federal court actions in response to EEOC complaints, unemployment claims, discrimination claims, wrongful termination claims, and other employment based contract or tort claims.
